Affiliate Program Terms

SECTION 01

Definitions

For purposes of these Affiliate Terms, the following definitions apply:

Program Overview

The ReelForge AI Affiliate Program allows approved participants to earn Commissions by referring new customers to ReelForge AI's paid subscription plans. This is a single-tier affiliate program; multi-level marketing or sub-affiliate arrangements are expressly prohibited.

SECTION 03

Eligibility Requirements

To participate in the Program, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction
• Have the legal capacity and authority to enter into this Agreement
• Have a valid website, blog, social media presence, YouTube channel, or email newsletter
• Not be located in a country subject to U.S. economic sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions)
• Not be listed on any U.S. government prohibited party list
• Provide accurate, complete, and current registration information
• Comply with all applicable laws and regulations

SECTION 04

Enrollment & Approval

Enrollment in the Program is subject to our approval. We reserve the right to accept or reject any application at our sole discretion without providing a reason for rejection.

Approval Criteria

• Quality, relevance, and legitimacy of your platform or audience
• Alignment with ReelForge AI's brand values and target market
• Compliance history (for returning affiliates)
• Traffic quality, engagement metrics, and content standards
• Absence of prohibited content on your platforms

Upon approval, you will receive access to your affiliate dashboard, unique Affiliate Links, and approved promotional materials.

SECTION 05

Independent Contractor Status

As an independent contractor, you are solely responsible for:

• All taxes on your earnings, including self-employment taxes, income taxes, and any other applicable taxes
• Your own insurance coverage (health, liability, professional, etc.)
• Your own business expenses, tools, and equipment
• Compliance with labor laws applicable to self-employed individuals in your jurisdiction
• Maintaining appropriate business licenses and permits

ReelForge AI will not withhold taxes from your Commission payments (except as required by law), provide employee benefits, or make employer tax contributions on your behalf.

SECTION 06

Representations & Warranties

By participating in the Program, you represent and warrant that:

• You have the legal capacity and authority to enter into this Agreement
• You are at least 18 years old or the legal age of majority in your jurisdiction
• All information you provide to us is accurate, complete, and current
• You are not located in a country subject to U.S. economic sanctions
• You are not listed on any U.S. government prohibited party list (SDN, Entity List, etc.)
• Your participation does not violate any agreement with a third party
• You own or have obtained all necessary rights to use any content you create for promotion
• You will comply with all applicable laws in your promotional activities
• You have not been previously terminated from the Program for cause
• Your promotional content will not infringe any third-party intellectual property rights

SECTION 07

Commission Structure

Commission Calculation

• Commissions are calculated on Net Revenue (gross payments minus refunds, chargebacks, discounts, and applicable taxes)
• Self-referrals are strictly prohibited and not eligible for Commission
• Commissions are earned only on first-time customer subscriptions attributed to your Affiliate Link
• Plan upgrades from Referred Customers generate additional Commission based on the incremental Net Revenue
• Plan downgrades reduce future recurring Commissions accordingly

SECTION 08

Payment Terms

• Minimum Payout: $50 USD minimum balance required for withdrawal
• Payment Schedule: Payments are processed monthly, by the 15th of each month for the previous month's cleared earnings
• Payment Methods: PayPal, Wise, or bank transfer (availability varies by region)
• Currency: All payments are made in USD. Currency conversion fees are your responsibility.
• Holding Period: Commissions are held for 30 days after the transaction to account for refunds and chargebacks
• Unclaimed Balances: Balances below the minimum payout threshold that remain unclaimed for 12 months may be forfeited

SECTION 09

Commission Adjustments & Clawbacks

Commissions may be reversed, adjusted, or clawed back if:

• The Referred Customer receives a refund within 60 days of purchase
• The Referred Customer initiates a chargeback or payment dispute
• The referral is determined to be fraudulent, artificial, or in violation of these Terms
• The Commission was paid in error or based on incorrect data
• The Referred Customer's payment method is declined or reversed
• The sale is determined to be a self-referral or from an ineligible party

SECTION 10

Promotion Guidelines

When promoting ReelForge AI, you must:

• Clearly and conspicuously disclose your affiliate relationship in compliance with FTC Endorsement Guides
• Provide accurate, truthful, and non-misleading information about ReelForge AI's features, pricing, and capabilities
• Use only approved promotional materials or create original content that accurately represents our service
• Not make income claims, earnings guarantees, or “get rich quick” representations unless substantiated by your own genuine, documented experience
• Not create false urgency or artificial scarcity in your promotions

SECTION 11

Prohibited Activities

The following activities are strictly prohibited and will result in immediate termination and forfeiture of unpaid Commissions:

Brand Usage & Intellectual Property

Trademark License

ReelForge AI grants you a limited, non-exclusive, non-transferable, revocable license to use our trademarks, logos, and brand assets solely for promoting ReelForge AI within the Program and in accordance with these Terms.

Brand Guidelines

• Use only official logos and assets provided in the affiliate dashboard
• Do not modify, distort, animate, or alter our logos, colors, or brand elements
• Do not imply endorsement, partnership, sponsorship, or employment with ReelForge AI
• Use the trademark symbol (™) when first referencing ReelForge AI™ in written content
• Maintain adequate spacing and legibility around our logos

Affiliate-Created Content

• You retain ownership of original content you create to promote ReelForge AI
• You grant ReelForge AI a perpetual, royalty-free, worldwide, non-exclusive license to use, reproduce, modify, and display such content for marketing purposes
• We may require you to remove any content that violates these Terms within 24 hours of notice

License Termination

Upon termination of your participation in the Program, all trademark licenses granted herein terminate immediately. You must cease all use of ReelForge AI trademarks and remove all promotional materials within 7 days of termination.

SECTION 13

Tracking & Attribution

• Cookie Duration: 60 days from the initial click on your Affiliate Link
• Attribution Model: Last-click attribution (the last Affiliate Link clicked before Conversion receives credit)
• Tracking Method: First-party cookies and server-side tracking

You can view your clicks, Conversions, and earnings in real-time through your affiliate dashboard.

SECTION 14

Data Protection Obligations

As an affiliate, you may receive or have access to limited personal data of Referred Customers. You agree to the following data protection obligations:

• Process personal data only for purposes of participating in the Program
• Not sell, rent, license, or share personal data with third parties
• Implement appropriate technical and organizational security measures
• Comply with GDPR, CCPA, and all applicable data protection laws
• Honor data subject access, deletion, correction, and opt-out requests
• Notify ReelForge AI within 48 hours of any actual or suspected data breach
• Delete or return all personal data upon termination of your participation
• Not transfer personal data to countries without adequate data protection unless appropriate safeguards are in place

For EU/EEA Affiliates: Upon request, you agree to execute a Data Processing Agreement (DPA). Standard Contractual Clauses shall govern international data transfers where required.

SECTION 15

Legal Compliance

You must comply with all applicable laws and regulations, including but not limited to:

• FTC Endorsement Guides: Clear and conspicuous disclosure of your material connection to ReelForge AI in all promotional content
• GDPR/CCPA/Privacy Laws: Respect user privacy and data protection regulations applicable to your jurisdiction and audience
• CAN-SPAM/CASL/E-Privacy: Follow email and electronic marketing regulations if promoting via email or electronic communications
• Advertising Standards: Comply with advertising and marketing laws, including truth-in-advertising requirements
• Platform Policies: Comply with the terms of service of any platform you use for promotion (YouTube, Facebook, Instagram, TikTok, etc.)
• Tax Laws: Comply with all applicable tax laws and reporting requirements

SECTION 16

Confidentiality

As an affiliate, you may have access to Confidential Information including commission rates, conversion data, promotional strategies, and other non-public business information. You agree to:

• Keep all Confidential Information strictly confidential
• Not disclose Confidential Information to any third party without prior written consent
• Not share your affiliate dashboard access credentials with third parties
• Not publicly disclose specific commission rates or Program terms without permission
• Protect any API keys, integration credentials, or access tokens provided to you
• Use Confidential Information only for purposes of participating in the Program

This confidentiality obligation survives termination of these Terms for a period of three (3) years.

Indemnification

This indemnification obligation survives termination of these Terms.

SECTION 18

Disclaimer of Warranties

ReelForge AI does not warrant that:

• The Program will be uninterrupted, timely, secure, or error-free
• Tracking and attribution will be 100% accurate
• Commission calculations will be error-free
• The Program will continue indefinitely or for any specific period
• You will earn any specific amount of Commissions or any Commissions at all
• The affiliate dashboard or related systems will be available at all times

YOUR PARTICIPATION IN THE PROGRAM IS AT YOUR OWN RISK.

SECTION 19

Limitation of Liability

The above limitations apply even if ReelForge AI has been advised of the possibility of such damages, even if any limited remedy fails of its essential purpose, and even if the damages were foreseeable. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

SECTION 20

Termination

Termination by Affiliate

You may terminate your participation at any time by providing written notice to affiliates@reelforgeai.io or through your affiliate dashboard. Pending Commissions that have cleared the holding period and meet the minimum payout threshold will be paid in the next scheduled payment cycle.

Termination by ReelForge AI

We may terminate or suspend your affiliate account:

• Immediately, without notice, if you violate any provision of these Terms, engage in fraudulent or deceptive practices, or damage ReelForge AI's reputation or brand
• With 30 days' notice for any reason or no reason at all (termination for convenience)
• Automatically if you become inactive (no clicks or Conversions) for more than 12 consecutive months

Effect of Termination

• All rights and licenses granted to you under these Terms terminate immediately
• You must cease all use of ReelForge AI trademarks and remove promotional materials within 7 days
• You must delete all Confidential Information and personal data in your possession
• Pending Commissions will be handled according to the termination type (see below)

SECTION 21

Program Modifications

ReelForge AI reserves the right to modify these Affiliate Terms, commission rates, payment terms, Program structure, or any aspect of the Program at any time. We will notify affiliates of material changes via email to your registered email address or through the affiliate dashboard.

Acceptance of Changes: Your continued participation in the Program after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must terminate your participation before the changes take effect.

Pending Conversions: Commission rate changes apply only to Conversions occurring after the effective date of the change. Conversions in progress during the notice period (where the initial click occurred before the notice) will receive the rate in effect at the time of the initial click.

SECTION 22

Governing Law & Jurisdiction

For affiliates located outside the United States, you agree that any disputes shall still be governed by Georgia law and resolved in Georgia courts or through arbitration as provided herein.

General Provisions

Entire Agreement

These Affiliate Terms, together with our Terms of Service and Privacy Policy, constitute the entire agreement between you and ReelForge AI regarding the Affiliate Program and supersede all prior agreements, representations, warranties, and understandings, whether written or oral.

Amendment

No modification or amendment of these Terms shall be effective unless made in accordance with Section 21 (Program Modifications) or in a writing signed by an authorized representative of ReelForge AI.

Waiver

The failure of ReelForge AI to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of ReelForge AI to be effective.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

Assignment

You may not assign, transfer, delegate, or sublicense these Terms or any of your rights or obligations hereunder without ReelForge AI's prior written consent. Any attempted assignment without consent is void. ReelForge AI may freely assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, pandemics, epidemics, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, or failures of telecommunications or internet infrastructure. If a force majeure event continues for more than 30 days, either party may terminate these Terms upon written notice.

Notices

All notices under these Terms shall be in writing and shall be deemed delivered when:

• Sent by email to your registered email address (for notices to affiliates)
• Sent to affiliates@reelforgeai.io (for notices to ReelForge AI)
• Posted in the affiliate dashboard (for Program-wide announcements)

You are responsible for keeping your contact information current in your affiliate dashboard.

Survival

The following sections shall survive termination or expiration of these Terms: Definitions, Independent Contractor Status, Representations & Warranties, Commission Adjustments & Clawbacks, Brand Usage & Intellectual Property (license termination provisions), Data Protection Obligations, Confidentiality, Indemnification, Disclaimer of Warranties, Limitation of Liability, Governing Law & Jurisdiction, Dispute Resolution & Arbitration, and General Provisions.

Audit Rights

ReelForge AI reserves the right to audit your promotional activities and records to verify compliance with these Terms. Upon reasonable notice, you agree to provide access to records related to your affiliate activities. If an audit reveals material non-compliance, you shall bear the reasonable costs of the audit in addition to any other remedies available to ReelForge AI.

Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

Language

These Terms are drafted in English. If translated into another language, the English version shall prevail in case of any conflict.
